Terms & Conditions
These Terms & Conditions (“Terms”) govern your use of brainhubaisolutions.online (the “Website”) and any services you buy from us. The Website and services are provided by Brain Hub AI Solutions (proprietor: Ayush Jain), a sole proprietorship in India (“Brain Hub AI Solutions”, “we”, “us”, “our”). By using the Website, submitting an enquiry or making a payment, you (“Client”, “you”) agree to these Terms.
1. Our services
We provide technology services, including: AI agents and business process automation; AI-enabled web and mobile application development; business websites; cloud setup, migration and DevOps; and data analytics and AI consulting. The exact scope, deliverables, timelines, milestones and fees for each engagement are set out in a written proposal, quotation, statement of work or invoice (the “Project Agreement”) that we share with you before work begins. If the Project Agreement conflicts with these Terms, the Project Agreement prevails for that engagement.
2. Quotes and payments
- All fees are quoted per project and confirmed in the Project Agreement or invoice.
- Unless the Project Agreement says otherwise, work starts after an advance payment is received, and the remaining amount is payable on agreed milestones or before final handover.
- Payments can be made through the payment options shown on our invoice or checkout page, including our payment gateway partner. You must provide accurate billing details.
- Applicable taxes, if any, are charged as per Indian law and shown on the invoice.
- If a payment is overdue, we may pause work until it is cleared. Timelines move accordingly.
3. Client responsibilities
You agree to give us timely access to the information, content, accounts, APIs, data and feedback needed to deliver the work, and you confirm that you have the right to share them. Delays in inputs or approvals may extend delivery timelines. You are responsible for the legality of the content and data you ask us to use.
4. Changes to scope
Requests that go beyond the agreed scope are treated as change requests. We will share the effort and any additional cost for your approval before doing the extra work.
5. Delivery and acceptance
Our services are delivered digitally (source code, deployed applications, documents, dashboards, access credentials or reports). See our Shipping & Delivery Policy. Each milestone is treated as accepted if you do not report a material defect against the agreed scope within 7 days of delivery.
6. Third-party services and costs
Solutions may rely on third-party platforms such as cloud hosting, domain registrars, AI/LLM model providers, app stores, messaging or payment services. Their fees, usage charges and terms are separate and are paid by you unless the Project Agreement states otherwise. We are not responsible for outages, price changes or policy changes of these third parties.
7. AI outputs
AI models can produce inaccurate or unexpected output. We design solutions with testing, guardrails and human review where appropriate, but you are responsible for reviewing AI-generated output before relying on it for legal, financial, medical or other critical decisions.
8. Intellectual property
On receipt of full payment, ownership of the custom deliverables created specifically for you transfers to you. We keep ownership of our pre-existing tools, libraries, templates and know-how, and grant you a non-exclusive licence to use them as part of the deliverables. Open-source components remain under their own licences. Unless you ask us not to, we may mention your company name as a client in our portfolio, without sharing confidential details.
9. Confidentiality and data
Both parties will keep each other’s confidential information private and use it only for the engagement. We are happy to sign a separate NDA. Personal data is handled as described in our Privacy Policy.
10. Warranty and support
We will perform services with reasonable skill and care. We fix defects that are within the agreed scope and are reported during the support period stated in the Project Agreement. Ongoing maintenance, hosting and new features are available under a separate arrangement.
11. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, including loss of profit, revenue or data. Our total liability for any claim relating to an engagement is limited to the fees you paid us for that engagement.
12. Cancellation and refunds
Cancellations and refunds are governed by our Cancellation & Refund Policy.
13. Acceptable use of the Website
You agree not to misuse the Website, including attempting unauthorised access, sending spam through our forms or chatbot, or uploading malicious code.
14. Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute will first be attempted to be resolved amicably by discussion. If it cannot be resolved, the courts in India shall have exclusive jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Engagements already confirmed continue under the Project Agreement agreed at that time.
